Abstract: (VF)À partir du cas d’une fusion entre une grande entreprise et une start-up dans le secteur des TIC, cet article met en lumière de nouveaux éléments explicatifs de l’échec de la création d'innovation conjointe. Le choix du mode d’intégration visant à préserver les spécificités des entités et à maintenir un équilibre des pouvoirs a, paradoxalement, limité leurs capacités innovatrices (phase 1). Ceci les a conduit à recourir à une gestion rationnelle de l’intégration avec une reprise en main de l’acteur économique le plus fort (phase 2). Mais les résultats décevants en matière d’innovation ont finalement amené les dirigeants à opter pour un troisième modèle de type symbiotique (phase 3). (VA)This article explores the merger of a large company with a start-up of the information and communication technology sector in order to reach an explanation of the failure to create joint innovation. As we shall see, the choice of a mode of integration aiming at preserving specificities of the entities and at maintaining a balance of power, paradoxically, limited their innovating capacities (phase 1). This resulted in resorting to rational management of integration under the dominance of the most powerful economic actor (phase 2). But the disappointing results regarding innovation finally led the leaders to choose a third model of the symbiotic type (phase 3).
