Abstract: (VF)Les analyses des phénomènes organisationnels proposées par la théorie de l'agence, tant sous sa forme positive que normative, ne considèrent que la structure formelle des organisations. L'objet de cet article est de proposer une synthèse de la théorie des transactions informelles introduite par Breton et Wintrobe qui prolonge la théorie de l'agence en prenant en compte les phénomènes informels. Cette théorie qui fournit la première explication économique de l'existence et du fonctionnement des structures informelles, permet notamment d'appréhender les différences d'efficacité entre les différents types d'organisations. Ses applications potentielles sont importantes pour comprendre le fonctionnement des organisations tant publiques que privées.(VA)Agency theory considers only formal structures of organizations. This article is a synthesis of the informal transactions theory introduced by Breton and Wintrobe. This theory may be considered as a develoment of agency theory, which accounts for informal phenomenons in organizations. It gives the first economic explanation of informal structures and contributes to explain the difference in performance between organizations. Its potential uses concern the understanding of public and private organizations.
