Abstract: (VF)Une analyse du conseil d'administration comme lieu de confrontation entre actionnaires et dirigeants est proposée à partir de deux axes, le pouvoir des dirigeants sur le conseil et l'activité du conseil, évaluée en fonction de l'implication du conseil dans la définition de la stratégie. Une typologie des conseils, composée de quatre groupes, résulte de cette analyse. Cette typologie ne permet pas d'expliquer la performance financière des sociétés françaises, ce qui conforte la thèse de la théorie contingente des organisations où le conseil d'administration ne constitue qu'un élément d'un système général de contrôle des sociétés, conformément au schéma établi par la théorie de l'agence. (VA)In managerial type companies, the problem of conflict of interest between shareholders and management is of considerable importance. The board of directors is the privileged scene of such confrontations, and therefore also of their resolution. But is it really suited to such a role and if so, under what conditions? Using a typology of company boards based on power relationships, the degree of activity and the areas of intervention, the authors provide a nuanced answer to these questions.
