Abstract:
German cooperative legislation implies a close relationship between the principle of equal treatment of members and member’s capital shares. This nexus may cause problems for housing cooperatives with significant vacancy rates. Reducing equity shares for new members in order to raise demand can hardly be considered feasible as this would imply unequal treatment of members. A general reduction of member shares would be equally inappropriate because of liquidity outflows. Regarding this conflict, the German cooperative law clearly gives first priority to the equal treatment of members even if this endangers the status quo of a cooperative. Thus, an immediate alignment of the legal framework is required.
