Abstract: The work presented here has no intention to revisit the governance theories. It does not matter to verify whether any theory. Our work is a working understanding of governance logic, not governance in its broadest sense (political) but from the perspective of public economic sphere, which is however not that of corporate governance. The combination of logical governance between Benin and Burkina allows to consider some contextualist logic of governance that is not necessarily the traditional logic of governance as envisaged by many executives (OECD, IMF, World Bank, NEPAD, etc.). Through a merger, implemented through a content analysis, we will analyze the governance of public companies in Burkina Faso and Benin, from a case in each country, the mechanisms are identical for all economic entities under state supervision in each country.
