Abstract: This preprint begins with the consideration of the legal nature of directors’ liability. Then it discusses such issues as the notion and presumptions of unfair and unreasonable behavior, circumstances to be proved in case of bringing a lawsuit for the recovery of losses caused to a legal entity by its director as well as the legal nature of derivative suit.
