Abstract:
This article presents the current trends of corporate mergers and acquisitions in RF. Due to the positive trend, the authors prove the relevance of the study of corporate governance principles. A hierarchy of principles of corporate management is proposed taking into account the social component and corporate synergy. The authors identify the following basic principles of corporate governance, arranged in a hierarchical sequence: sustainability, innovation, social responsibility.Security, corporate synergy. It is hypothesized that the implementation of each subsequent principle is possible only after the implementation of the previous one.The concept of corporate sustainability involves not only the financial, social and environmental performance of the corporation, but also its innovative activity, the ability to develop and implement innovations. The principle of corporate social responsibility involves achieving transparency and accessibility, as well as social investment.Ensuring sustainability, innovation and social responsibility brings the corporation to the next level of our proposed hierarchy - the formation of security of all participants of corporate relations. The presence of this principle in the hierarchy proves the advantages to the participants of corporate relations.In compliance with the above principles, we can talk about the effectiveness of the joint operation of all parts of the corporate network, i.e. of corporate synergy.The authors study various manifestations of corporate synergy, in particular the synergy of expansion and synergy of connectivity, focus on the flow and inter-flow corporate relations and synergy.The concept of corporate management, consisting in the consistent implementation of the principles of corporate governance, which culminates in corporate synergy, efficiency and feedback from the highest principles, involves the creation of a new type of corporation with a high degree of corporate social responsibility.
