Abstract:
This note discusses a number of key issues developed by the Corporate Governance Project of the American Law Institute (ALI) and published in its report, The Principles of Corporate Governance: Analysis and Recommendations. This examination will focus on the socially and ethically important elements regarding the objective and conduct of the business corporation, and the twin fiduciary duties of care and fair dealing.
