Abstract:
This is the first part of a two part article describing the new UK Companies Act, which reforms and/or restates substantially the whole of the existing legislation for the UK and codifies significant areas of case law, including fiduciary duties and derivative actions. The new Act is being brought into force progressively over the period December 2006 to October 2009. The article concentrates on the main changes and areas of controversy.
