Abstract:
This article reviews the status quo of the various judicial proceedings available to shareholders under Belgian law. An overview of the directors' liability regime is included, as well as a description of the actions that can be taken by shareholders against the company itself (for example, in order to seek the annulment of corporate resolutions). The specific procedures whereby one shareholder can buy out another (or sell out its shares), which have been extensively resorted to, are also described.
