Abstract: Within the project of drafting a European Model Company Law Act the establishment of rules concerning shareholder suits plays an important role. In this regard, it seems to be necessary to establish a well-balanced system of sufficient information and low thresholds as well as adequate rules concerning the allocation of costs and the burden of proof. However, specific rules to prevent the abuse of rights must also be provided for.
