Abstract: Der Aufsatz behandelt die mit der Notierung ausländischer Gesellschaften an US-Börsen verbundenen Rechtsprobleme aus der Sicht eines amerikanischen Experten. Neben einem allgemeinen Überblick über die amerikanischen Börsengesetze wird dabei auch auf die Praxis der New Yorker Börse sowie die in Europa besonders kritisch beurteilten amerikanischen Buchführungs- und Bilanzierungsvorschriften eingegangen.
