Abstract:
Recently, the (allegedly resolved) question arose increasingly how qualified approvals in favour of a cooperative’s supervisory board can be installed. Other than in stock corporations, qualified approvals cannot be simply laid down by the supervisory board due to cooperatives’ law. We show, using the example of a goods cooperative, under which conditions the granting of payment targets can be made dependent from a qualified approval of the supervisory board.
