Abstract:
When exercising temporary rights to influence a legal relationship, the question arises as to whose knowledge a period commences - Is the knowledge of individual members of the board sufficient or is even the knowledge of several organs necessary? This question becomes relevant in the case of extraordinary dismissal of board members, because the right of termination is temporarily limited by § 626 para 2 BGB. This paper deals with the question which body is responsible for the extraordinary dismissal of board members of a cooperative and when the notice period begins to run.
