Abstract:
This study questions the transformative potential of the employee directors (ED) on corporate governance by examining the sociological mechanisms that shape this dispositive. The study is based on 11 semi-structured interviews conducted in 2021 with ED of large French companies. Our results, informed by the Bourdieu?s concepts of ?field? and ?capital?, show that entering the field of power generates a high entry cost for the ED. Occupying a position of ?dominant-dominated? within this new field, the ED are forced to adopt the codes of the dominant actors. A struggle then appears between the EDs who act, despite everything, to have an effect in the field and the other administrators who put in place actions to avoid a reconfiguration of the field.
