Abstract: The questions about corporate governance and « affairs » such as Enron, Vivendi... are echoing a series of questions about the firm in the economic theory. Walras and general equilibrium differ from Schumpeterian views and the conflict between shareholders and management was already discussed by Bearle and Means in the 1930s. The regulation of firms in the purpose of corporate social responsibility needs more than ethics. What can be the role of law, trade unions, society in the crisis of confidence of the « agency » and the « principal »?
