Abstract:
This paper contains a partial review of the economic analisis of corporate governance. The review considers three main approaches to the subject, agency theory, incomplete contracts and the view of the firm as a subeconomy, and provides a summary of findings in empirical research based upon each of them. The paper highlights the trends in international reseach that integrates comparative institutional analysis in the study ownnership and governance of business firms around the world. The conclusions indicate that the difficult equililibrium between public regulation and private contracting will continue to be the dominant subject in the field of corporate governace for the next time to come.
