Abstract:
In the scientific, academic and professional environment, private equity is more and more frequently analyzed as a new pattern of capitalism. It is actually contributing to change and modify the characteristics of modern economic systems. The most important aim of this study is to show and underline the evolution and the importance of corporate governance rules and patterns in the field concerning institutional investment of risk capital, with particular reference to the relation between investor ed enterprise, but also to the rules of "good government and management", which are fundamental for institutional investors. In fact, the problem is not related to the need of a corporate governance for itself, but to the need of a rational regulation for enterprise activity.
