On Protection of Rights and Interests of Minority Shareholders in Listed Company

Abstract: With the rapid development of China economy, more and more listed companies appear and the size of securities market is growing. Their influences on economic development tend to be more prominent. Inevitably, there are some flaws in securities market. One of serious problems is the issue of controlling shareholders taking advantages over minority shareholders¡¯ equities. In this paper, the author tries to analyze the actual situations of minority shareholders¡¯ losses, starting from the theories and incentives, and proposes relevant countermeasures for this problem.
