The Evolution of Golden Power in Italian Law Framework and from a European Perspective

Abstract:
The recent political transformations and historical events have justified an increasing exercise of golden power. This power, which is the evolution of the previous golden share, requires a continuous balancing of the various interests at stake. The article aims to describe the origin, the recent changes in law framework and the de iure condendo proposals, through an analysis of the Italian case law and events and through a comparison with the other EU Member States’ law system. Golden power is an essentially geopolitical and highly discretionary power. Furthermore, from an evolutionary perspective it does not seem, at least to date, to be an instrument for protecting the increasingly relevant ESG factors.
