The use of private (limited liability) company («s.r.l.») for financial intermediation and structured finance

Abstract:
The study shows that the type of LTD is widely used both in the activities of nonbank financial intermediation and in various structured finance transactions. The official statistics of the Bank of Italy reveal, in particular, a massive, almost exclusively, use of Ltd for securitizations. Therefore, our analysis reveals that the characteristics of the structural and functional Ltd «special» examined are very similar to each other, and that is in place the gradual sorting out of a archetypal Ltd used in the market transactions that partially differs from the discipline of the «common» Ltd .
