Management Compensation in Banks: A Corporate Law Approach

Abstract:
The aim of this paper is to provide (i) a general review of the rules set by the Bank of Italy, concerning managers' compensation in Italian banks and (ii) a full account of how boards, shareholders and, more in general, corporate governance play their role, in complying such rules. In particular, it has been analyzed how deep is the power of shareholders to compel the board to adopt a compliant kind of pay.
