Information to and from Directors

Abstract: The article focuses on two main aspects of information flow to and from directors. The first one addresses how information ought to be transmitted to non-executive directors as well as their due diligence powers in the event of inadequate information. The second one concerns how the board of directors should disseminate information to corporate officers, third parties, and more generally to the public.
