Some Notes on the Role of Non-executive Directors of Banks

Abstract:
This paper aims to provide an overview of the non-executive directors regime in the Italian banking sector, in the light of the new role assigned to them by the latest regulations (Bank of Italy Circular no. 285/2013). The article proposes to review the impact of these special regulation over the framework laid down by the Civil Code, as well as on the issues related to the «system» of the company's internal controls, specifically inquiring about the possibilities - as well as about the convenience - to apply in «ordinary» companies solutions provided for banks by the Italian Supervisory Authority.
