Abstract:
The article analyses the duties of non-executive directors of banks to act in an informed manner and addresses, in particular, the regulatory differences between non executive directors of non-financial institutions and non-executive directors of banks. This paper takes into consideration the most recent developments in the caselaw of the Italian Supreme Court (Corte di Cassazione) and in EBA, ESMA and BCE guidelines.
