The Impact of the Regulations on the Governance of the Banks

Abstract: The paper examines some of the most significant effects of the regulations on the behavior, procedures and responsibilities of the directors of the banks. In particular, the author analyses the changes in the composition and the functions of the board, in the competences of the Risk Committee and in the role and duties of the Statutory Auditors, drawing from this analysis some considerations upon the problem of the choice of the governance system. The last paragraph of the paper deals with the topic of sustainability in the governance of the banks in the light of the duties of disclosure as provided in the Nonfinancial Reporting Regulations.
