The Shareholders' New Suitability and the Corporate Governance of Banks in Italy

Abstract:
Directive 2013/36/EU dated 26 June 2013 and article 25 Italian Legislative Decree dated 1st September 1993, n. 385 establish the new legal framework for the prudential assessment of qualifying holdings in Italian credit institutions. This essay analyses the requirements and criteria laid down for the shareholders, comparing the Union law to the stricter national legislation. The aim is to investigate which specific contents, limitations and effects are implied by such rules and to highlight how is changing the shareholders' role in the corporate governance of banks.
