Une analyse économique des contrats de partenariat industriel: l'apport de l'économie des coûts de transaction

Abstract: [fre] L'objet de l'article est d'analyser le partenariat industriel, lorsque ce dernier se traduit par la conclusion d'un contrat signé entre le donneur d'ordres et le sous-traitant. Cette étude s'appuie sur le comportement d'un échantillon de donneurs d'ordres en ce qui concerne la durée du contrat, le réglage des quantités, le problème du prix, et le règlement des litiges. D'un point de vue théorique, les travaux de O. Williamson permettent de mettre à jour les difficultés du dispositif contractuel. On montre également que dans sa phase actuelle, le partenariat repose essentiellement sur des mécanismes contractuels qui visent à inciter les sous-traitants à proposer des prix compétitifs, en échange d'une augmentation de la durée d'engagement. [eng] The object of the article is to analyse the industrial partnership in cases where this type of relationship leads to the signing of a basic contract between the principal and the subcontractor. This study is based on the behaviour of a sample of principals concerning the duration of the contract, the quantities involved and their timing, the problem of price and the settlement of disputes. From a theoretical point of view, the work of O. Williamson makes it possible to discover the problems involved in the contractual system. It is also demonstrated that in its present phase, this type of partnership relies essentially on contractual mechanisms which are aimed at inciting the subcontractors to offer competitive prices in exchange for an increase in the duration of the commitment of the principal.
