Abstract: [fre] Les théories de la microstructure des marchés financiers ont mis en évidence la nécessité de prendre en compte le contexte institutionnel des échanges, i.e. essentiellement les règles d'échange, afin de mieux appréhender le mode de fonctionnement des marchés. Après avoir montré que l'intégration des formes institutionnelles par ces théories rencontre des limites, nous proposons, à partir des travaux de North (1991), de reconnaître les marchés financiers comme des Dispositifs Institutionnels et Organisationnels spécifiques. La cohérence de ces derniers influence alors, dans une certaine mesure, les conditions de fonctionnement des marchés. Cette approche institutionnelle est illustrée au travers des dysfonctionnements qui ont affecté le NASDAQ au milieu des années quatre-vingt-dix. [eng] Financial microstructure theories shed light on the necessity to take into account the institutional environment of exchanges, i.e. essentially exchange rules, in order to better understand the functioning of financial markets. We show firstly that the way institutions are considered by these theories is yet limited. Secondly, we offer an institutional analysis, based on North's works (1991), which conducts us to identify financial markets to specific Organisational and Institutional Processes. The coherence of these processes influences, to a certain extent, the markets' functioning. This institutional approach is illustrated through the failures of the NASDAQ market in the mid-eighties.
