Abstract: The German legislator decided, with the introduction of the MoMiG (01.11.2008) – considering the EuGH-court-decisions Centros, Überseering and Inspire Art – to give the permission for establishing an entrepreneurial society (haftungsbeschränkt), based on §5a GmbHG, without the neccesity of a statutory minimum share capital. In this article, this legal form and its social order is to be displayed.
