Abstract: In the banking sector, the governance is a crucial factor for value creation. The crisis has highlighted the inability of the governing body of the largest banking groups to keep effectively the productive resources, ensuring sound and prudent management. In the light of recent regulatory actions on governance and of the increasing need for cost reduction in the banking industry, this study examines the relationship between the board characteristics and the efficiency of a sample of 100 USA and European listed banks, in the period 2005-2011. The efficiency is estimated through a non parametric methodology, DEA (data envelopement analysis). Our results show that the higher the presence of woman and the percentage of independent member inside the board of directors and the audit committee, the higher the bank efficiency. Conversely, the CEO duality reduces the bank cost efficiency.
