Abstract: The paper presents the essential barriers of inter-organizational cooperative relations. Based on empirical researches the author identified seven critical factors grouped together under name: risk, people, restriction, production, logistic, relation and quality. The author prepared their hierarchy and evaluation using the procedure of factor analysis. The results show that the process of managing interdependencies is influenced by all kinds of fears and uncertainties concerning the behavior and dealing with contractors participating in achieving the agreed goals. Determination of the critical factors in the development of relations may help the business practitioners to understand their own importance and their influence on the development of new forms of cooperation. Their identification and analysis enable the development of a series of actions that will effectively mitigate the risks and contribute to the increase in scope, level, quality and intensity of cooperation in the future
