Board and Board Committees in AI-Innovative Banks: A Comparative Study

Abstract: The oversight of management and shareholders’ interests in conditions of high volatility and persistent environmental uncertainty is exercised by boards of directors through specialized committees. Alongside the traditional Audit, Risk Management, and Remuneration committees, boards have gradually introduced committees for Corporate Governance, Nominations, and ESG policies, and more recently, technology committees. This study covers the period 2020–2025 and examines the transformation of boards and their committees in the Top 20 AI-oriented banks included in the Evident AI Index. It aims to assess whether board structures, committee architecture, activity levels, and directors' competency profiles enable effective oversight of digitalization, cybersecurity, and artificial intelligence, and whether the generational composition of boards may hinder technological transformation.
