Chapter 8 in Beyond Shareholder Value, 2021, pp 259-315 from Edward Elgar Publishing
Abstract:
This chapter examines the stakeholder methods tried hitherto. The analysis covers employment and antitrust laws, the stakeholder provisions included in corporate statutes since the 1980s and the statutory remedies available in Canada for non-shareholders. Corporate adoption of shareholder value maximization as the goal and the incentive structures developed for executives discourage inclusive governance and fair consideration of non-shareholder interests. The review reveals the weaknesses in the prevailing “patchwork†legislation in a setting that stresses shareholder primacy as the overarching principle and it is evident regular courts are constrained in grappling with complex corporate disputes.
