Board composition and decision-making: who makes the decisions?
Laura F. Spira
Chapter 3 in Research Handbook on Corporate Board Decision-Making, 2022, pp 20-40 from Edward Elgar Publishing
Abstract:
This chapter considers the relationship between corporate board composition and decision making. It outlines the conventional wisdom on board composition with specific regard to independence and diversity; identifies research in a range of disciplinary areas which challenges underpinning assumptions; and discusses further questions that could be explored in order to provide a more extensive evidence base to influence and support regulatory and policy development. This chapter will also assist researchers by providing signposts to relevant literature and by considering practical issues around researching in this area.
