Setting the scene to study the interrelationships between corporate governance and ethics: an introduction to the Research Handbook

Abstract: Corporate governance deals with the system of how corporate assets are managed and overseen. The structures and processes of management and supervision should ensure that corporate decisions are prepared thoroughly and corporate objectives are attained effectively. Despite the normative foundation of corporate governance, the linkage and overlap between corporate governance and ethics have not yet been comprehensively covered. The Research Handbook on Corporate Governance and Ethics intends to address this gap. It brings together internationally well-known experts from various disciplines who illuminate the multiple angles of the interrelationships between corporate governance and ethics. More specifically, the Research Handbook deals with the stakeholder turn in the corporate governance debate and how to sustainably create value; the various interrelationships between corporate social responsibility, sustainability and corporate governance; the interrelated concepts of values, norms and institutions in which the firm and its governance and management are embedded; the influential notions of managerial discretion and managerial obligations; and some selected reflections of the philosophical underpinnings of corporate governance; as well as how corporate governance is related to, and may contribute to overcoming, some of the societal grand challenges, including inequality.
