Abstract:
This chapter investigates corporate governance spillovers in cross-border mergers and acquistions. It explains how differences in governance standards between bidder and target countries can create value or reduce it, depending on the stricter governance regime. Positive spillover effects improve target governance when bidders have higher standards, while negative outcomes occur otherwise. The chapter also examines governance adjustments following partial takeovers and market reactions to such changes.
