Abstract: This chapter examines dis-synergies, or negative synergies, in M&A transactions. It categorizes the factors leading to dis-synergies, such as conflicting synergy types, poor resource alignment and overemphasis on specific synergies. It also explores their role in driving divestitures and highlights how dis-synergies can disrupt integration, increase costs and undermine performance if not managed properly.
