Tactical ethics in corporate governance: Practicing assertiveness and patience

Abstract: In this chapter we examine the practice of ethics in the context of corporate governance. We argue that directors’ experiences of ethical tensions in the boardroom often involve a tactical thinking aimed at determining “how far to go” to push their views and when to “let it go”. We illustrate our arguments with vignettes of practical situations derived from experiences from the field. We suggest that practicing ethics in governance settings involves a balancing act between patience and assertiveness.
