Chapter 7 in Teaching Business and Human Rights, 2023, pp 88-99 from Edward Elgar Publishing

Abstract: Understanding the corporate structure can be difficult for law students without a business background. This chapter aims to highlight the basics of corporations in order to understand where business and human rights issues intersect. Using established principles under state and federal law, this chapter aims to provide a general overview of issues such as fiduciary duties and corporate disclosure and discuss how they may affect a corporation’s human rights impact. Specifically, the chapter discusses Delaware (as the leading state in corporate-related jurisprudence and federal securities laws) and the legal framework that has developed around these regimes. In addition, by using the leading case of Dodge v. Ford, this chapter brings into focus the ongoing debate regarding whether a corporation should place shareholder profits above everything else – including potential human rights’ harms.
