Abstract:
This chapter explores the relationship between the goals of competition law and corporate law. The consumer welfare standard and the shareholder primacy doctrine represent mainstream economic perspectives on competition law and corporate law, respectively. Both paradigms, however, face increasing criticisms for neglecting broader non-economic goals such as reducing inequality, protecting small businesses, and promoting environmental sustainability. The chapter discusses key parallelisms in the academic debates on the normative objectives of competition law and corporate law, shedding light on a common tension between single-purpose and pluralistic approaches to the design and interpretation of legal rules in both fields. The chapter argues for integrating academic discussions on the goals of competition and corporate law.
