Small-firm acquisitions, merger control, and digital markets: the MetaKustomer case

Abstract:
The European Commission is taking a stronger stand on mergers involving small firms in digital markets. Following the re-assessment of Article 22 of Merger Regulation, the Commission has investigated a vertical concentration involving the acquisition of a small firm (Kustomer) by Meta (formerly Facebook) operating in a downstream market with no substantial overlaps. Will this new and stricter approach be followed also by other authorities or will we assist to a different pace in the enforcement of competition rules within the (at least geographically) European countries? The United Kingdom’s decision to clear the merger - as well as the German decision that the same operation should be notified - provides much food for thought.
