Abstract: In all merger and acquisition (M&A) transactions, the potential purchaser will require certain information on the Target as basis for the business decision about whether to pursue the transactions and the commercial terms the potential purchaser is willing to offer. The provision of that information by the Target and its analysis by the potential purchaser is commonly referred to as ‘due diligence’ or the ‘due diligence process’. The due diligence is generally structured into broadly three different workstreams, i.e., the commercial due diligence, the financial due diligence and the legal due diligence. This chapter will focus on the legal due diligence in the esports industry.
