International sales of goods and Rome I Regulation

Abstract: The substantive law of international sales has been harmonised to a great extent by international conventions and principles such as the UNCITRAL Convention on International Sales of Goods and the UNIDROIT Principles for International Commercial Contracts, and the formalisation of terms used by the mercantile community through ICC's Incoterms. The current legal framework on international sales is by no means comprehensive and substantive laws on matters not covered by it necessitates identification of the proper law of the contract. This means referring to the Rome I Regulation which deals with conflict rules in the EU Member States for the purposes of determining the law applicable to a contract. This chapter starts with an examination of the existing sales conventions and principles in sections I and II, and follows with an examination of standard trade terms, in particular CIF and its unique characteristics. The final section III explores the Rome I relationship to the sales conventions, standard trade terms and the UNIDROIT Principles using illustrations.
