Incorporating DAOs in Switzerland

Abstract: With its robust legal framework and various customizable company forms, Switzerland offers an ideal framework for the establishment of a DAO. Depending on which of the three relationship archetypes for DAOs is to be implemented, different company forms and structuring options should be considered. As it turns out, the Swiss association is particularly suitable for the implementation of the various archetypes of a DAO structure due to its flexibility and the limitation of liability for its members and bodies. For instance, an association can exist alongside a DAO, either as an ‘advisory DAO’ or as an ‘association agent’. On the other hand, a DAO can also be merged with an association, by either representing a separate body of the association (‘legal wrapper light’) or being completely absorbed into the association (‘full legal wrapper’).
