A chapter in Boardroom Secrets, 2009, pp 131-134 from Palgrave Macmillan
Abstract:
Abstract The board is entrusted with the responsibility of providing guidance and oversight to ensure sustainable value creation. While the boards do not manage the corporation, they govern by setting the rules; selecting the management; reviewing and approving key decisions; coaching, evaluating, and rewarding the management; and ensuring that risk management and internal control systems are effective.
