Chapter 6 in Board Directors and Corporate Social Responsibility, 2012, pp 101-121 from Palgrave Macmillan

Abstract: Abstract This chapter characterizes selected functional dimensions of supervisory boards of companies listed on the Warsaw Stock Exchange (WSE). Polish supervisory boards currently boast over twenty years of experience since their widespread appearance in limited companies. An important dimension characterizing the experience of Polish supervisory boards is the process of implementing new institutions—the independent board member and the audit committee. This process is analyzed through experiences to date and through factors impacting on the effectiveness of the supervisory board in companies listed on the WSE.
