Abstract: Abstract This chapter seeks to lay a theoretical foundation of the book through an analysis of corporate contractualism. This chapter starts with a description of the key features of the UK’s company law and corporate governance framework and then explains its evolution and development and practice from the perspective of the theory of corporate contractualism.
