Abstract: Abstract This chapter explores the fundamental dynamics that make translating principles into practice a persistent systemic challenge in corporate governance. It examines why this challenge becomes particularly complex in the digital age, where technologies, accelerated change, and shifting expectations reshape the landscape. The discussion offers a meta-level perspective on what drives the gap between governance ideals and their realization in practice. It begins by tracing the roots of corporate governance back to the foundational shift introduced by the industrial revolutions – shifts that continue to influence economic systems today. The chapter then examines how decision-making in modern organizations is increasingly defined by trade-offs along two critical dimensions: time and stakeholder impact. Finally, five key differentiators are introduced that distinguish the dynamics of the digital realm from its industrial-era predecessors, highlighting why established governance approaches may no longer be sufficient. The chapter aims to provide a narrative for understanding these complexities and points toward the mindset needed to bridge the gap between principles and effective governance in the digital realm.
