Abstract: Abstract Short-form merger, also known as a parent-subsidiary merger, is a merger between a parent company and its substantially (but not necessarily wholly) owned subsidiary, with either the parent company or the subsidiary surviving the merger. In a short-form merger, the stockholder approval may be bypassed when the corporation’s stock is concentrated in the hands of a small group.
